Welcome to Thryveit. These Terms and Conditions (“Terms”) govern your use of our website https://thryveit.com and the purchase of our digital marketing services. By accessing our site or engaging our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By using this website or signing a Service Agreement/Proposal with Thryveit, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, please refrain from using our services.

2. Eligibility

You must be at least 18 years of age and possess the legal authority to enter into a binding agreement under the Indian Contract Act, 1872, to use our services.

3. Scope of Services

Thryveit provides digital marketing services including, but not limited to, SEO, Social Media Management, PPC, Content Marketing, and Web Development. The specific scope of work (SOW), timelines, and deliverables for each project will be outlined in a separate Proposal or Service Agreement.

4. Payment Terms

We only collect personal data that is necessary for specified, lawful purposes:

Advance Payment: To initiate any project, a non-refundable 50% advance payment of the total project value is required. Work will commence only upon the clearance of this payment.

Balance Payment: The remaining 50% is due upon [e.g., project completion / milestone achievement / 30 days from start date], as specified in your invoice.

Taxes: All prices quoted are exclusive of GST (Goods and Services Tax) unless otherwise stated. GST will be charged at the prevailing rate as per Government of India regulations.

Late Payments: We reserve the right to suspend services if payments are delayed by more than 7 days beyond the due date.

5. Client Obligations

To ensure project success, the Client agrees to:
  • Provide all necessary information, logos, images, and access (social media, website backend, etc.) in a timely manner.
  • Assign a primary point of contact for approvals.
  • Acknowledge that delays in providing feedback or assets will result in a shift in project deadlines.

6. Intellectual Property (IP)

We only collect personal data that is necessary for specified, lawful purposes:

Agency IP: All tools, processes, and proprietary methodologies used by Thryveit remain our exclusive property.

Work Product: Upon full and final payment, the final deliverables created specifically for the Client (e.g., custom graphics, copy) will be owned by the Client. We reserve the right to showcase the work in our portfolio and marketing materials unless a Non-Disclosure Agreement (NDA) states otherwise.

7. Limitation of Liability

To the maximum extent permitted by Indian law, Thryveit shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business reputation, arising from the use of our services or third-party platforms (Google, Meta, etc.). Our total liability is limited to the amount paid by the Client for the specific service in question.

8. Third-Party Platforms

Our services often involve third-party platforms (e.g., Google Ads, Facebook). We are not responsible for changes in their algorithms, policies, or account suspensions that are beyond our control. Any third-party platform fees (ad spend) are to be paid directly by the Client.

9. Cancellation & Refund Policy

As stated in our Refund Policy, the 50% advance payment is non-refundable once work/strategy has commenced. Either party may terminate the agreement with [15/30] days' written notice. Upon termination, the Client is liable to pay for all work completed up to the date of termination.

10. Confidentiality

Both parties agree to keep all sensitive business information, trade secrets, and pricing details strictly confidential and will not disclose them to any third party without prior written consent.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Significant changes will be notified via our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.
